- Advised physicians and group medical practices on compounding pharmacy investment, clinical integration antitrust issues for single specialty joint venture, radiation oncology center expansion forfeiture for competition provisions in physician practice management company agreement, physician employment agreements, clinical research/principal investigator agreements, physician practice closures, and office sharing arrangements.
- Developed code of conduct, compliance program and privacy and security policies for Athas Health and its subsidiary companies.
- Advised Athas Health on use and promotion of FDA-approved/cleared medical devices for off-label purposes in spinal surgery and neurostimulator implantation, informed consent issues, risk management of self-referred patients, medical necessity, clinical documentation, coding and denials management issues.
- Negotiated for St. Luke’s Episcopal Health System on $100MM seller-financed divestiture of Kelsey-Seybold clinics, a Medicare Advantage plan and a physician practice management company.
- Advised Triumph Healthcare on purchase of long term acute care hospitals and physician joint ventures.
- Negotiated for Digestive Health Associates of Texas on its sale of five ambulatory endoscopy centers.
- Served 8 months as interim counsel for CHRISTUS Health, negotiated sale and transfer of CHRISTUS St. Joseph residency programs and advised hospitals on legal impact of emergency management decisions during Hurricanes Katrina and Rita.
- Negotiated purchase of specialty pharmacy companies and conducted due diligence for AmerisourceBergen Specialty Group.
- Negotiated acquisition of physician practices for HCA, Triad Hospitals and other physician practice management companies.
- Advised hospitals, ambulatory surgery centers and physician practices regarding assignment of benefits, waivers of copayments, deductibles and coinsurance, out-of-network strategies, pricing practices, collections practices and appeals of denied claims.
- Advised Grocers Supply on legal issues and contracts for on-site employee health center.
- Advised Baylor University Medical Center on consolidation and compliance of its discount and charity care policies, graduate medical education program contract and residents’ program manual, residents’ evaluation criteria, and residents’ dismissal process and appeal hearings.
- Drafted medical staff bylaws and rules and regulations for Baylor Regional Medical Center at Plano, National Surgical Hospitals, Physicians’ Medical Center of Pasadena, and Ochiltree General Hopsital.
- Advised health care/hospital systems on certified nonprofit health organizations’ formation and operation, managed care contracting and disputes, and formation and operation of independent practice associations and physician-hospital organizations.
- Handled hospital licensure and Medicare change of ownership issues for EPIC Healthcare Group restructuring and refinancing.
- Advised Hermann Hospital’s credentials and other medical staff committees, drafted research protocol summaries and recommendations for human subject research review committee during HIV/AIDS crisis, drafted IRC 501(e) hospital cooperative laundry management contract, and initiated ethics “grand rounds” for nurses, interns and residents.
- Advised Hermann Affiliated Hospital System’s managed hospitals on open meetings and open records laws, county indigent health care programs, and physician recruitment contracts.
